These Terms and Conditions ("Terms") govern your access to and use of the TradeFlow OS Pro platform and website at tradesflowos.com (the "Service"), operated by TradeFlow OS Pro ("TradeFlow," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and legally authorized to enter contracts in your jurisdiction to use the Service. By registering, you represent that you meet these requirements and that all information you provide is accurate.
2. Account Registration
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@tradesflowos.com if you suspect unauthorized access. We are not liable for losses resulting from unauthorized use of your account.
3. Description of Service
TradeFlow provides an AI-powered voice receptionist that answers inbound calls to a designated phone number, qualifies leads, books appointments, and sends SMS notifications — on behalf of trade contractors. The Service includes:
- A dedicated AI phone number (or call-forwarding integration with your existing number).
- Call recording and transcription.
- Lead capture, management, and SMS follow-up.
- A contractor dashboard for reviewing calls, leads, and analytics.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable federal, provincial, state, or local law or regulation.
- Harass, deceive, or defraud callers or third parties.
- Send unsolicited commercial messages (spam) in violation of TCPA, CASL, or applicable Mexican law.
- Record calls without legally required disclosures or consent.
- Reverse-engineer, scrape, or attempt to extract source code or AI models from the Service.
- Resell or sublicense access to the Service without our written consent.
5. Call Recording & Compliance
The Service automatically records calls handled by the AI. You acknowledge that call recording laws vary by jurisdiction (including two-party consent requirements in certain US states, Canada, and Mexico) and that you are solely responsible for ensuring your use of call recording complies with all applicable laws. TradeFlow provides a default disclosure announcement; you must not disable it without independent legal advice confirming it is unnecessary for your jurisdiction.
6. SMS Communications
When you use TradeFlow's SMS follow-up features, you represent and warrant that all recipients have provided the legally required consent under TCPA (US), CASL (Canada), or LFPDPPP (Mexico), and that you will honour opt-out requests immediately. TradeFlow is not liable for regulatory fines arising from your failure to obtain proper consent.
7. Fees & Billing
Plans and pricing
TradeFlow offers a free Starter plan and paid subscription plans billed monthly. Current pricing is published on the pricing page and may change with 30 days' notice to existing subscribers.
Payment
Paid plans are billed in advance via Stripe. All fees are non-refundable except as required by law or as stated in our refund policy. You authorize us to charge your payment method on file on each billing date.
Late payment & suspension
If a payment fails, we will notify you and attempt re-billing. Accounts with outstanding balances may be suspended after 7 days; data is retained for 30 days post-suspension before deletion.
8. Intellectual Property
TradeFlow and its licensors own all rights in the Service, including software, AI models, trademarks, and content. You retain ownership of your business data (call recordings, lead information, etc.). You grant TradeFlow a limited license to process your data solely to provide and improve the Service.
9. Confidentiality
Each party agrees to keep the other's confidential information (including call data, business details, and pricing) confidential and not to disclose it to third parties except as required by law or with prior written consent.
10. Third-Party Services
The Service integrates with third-party providers including Retell AI, Twilio, and Stripe. Your use of these integrations is also subject to those providers' terms and policies. TradeFlow is not responsible for the acts or omissions of third-party providers.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI RESPONSES WILL BE ACCURATE IN ALL CIRCUMSTANCES.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRADEFLOW'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 3 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL TRADEFLOW BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST LEADS.
13. Indemnification
You agree to indemnify, defend, and hold harmless TradeFlow and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any claim by a third party arising from calls or SMS messages sent through your account.
14. Term & Termination
These Terms remain in effect while you use the Service. Either party may terminate at any time. You may cancel your subscription from your account dashboard; cancellation takes effect at the end of the current billing period. We may terminate or suspend your account immediately for material breach of these Terms. Upon termination, your right to use the Service ceases and we may delete your data after the retention period described in our Privacy Policy.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Province of Alberta, Canada (or, for US-based contractors, the laws of the State of Delaware), without regard to conflict-of-law principles. Any dispute that cannot be resolved informally shall be submitted to binding arbitration under the rules of the applicable arbitration body, with proceedings conducted in English. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.
16. Changes to These Terms
We may update these Terms at any time. We will post the revised Terms with an updated "Last updated" date and notify you by email for material changes. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
17. Miscellaneous
- Entire agreement: These Terms and our Privacy Policy constitute the entire agreement between you and TradeFlow regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any right is not a waiver of that right.
- Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a merger or acquisition.
